The directors of Massanutten Bank and Trust Company, Harrisonburg, and F & M National Corporation, Winchester, have agreed in principal to affiliate.
The affiliation, which is subject to approval by Massanutten’s shareholders and regulatory authorities, calls for an exchange of 2 Vi shares of F & M’s common stock for each one share of Massanutten’s common stock. Massanutten currently has 115,203 shares outstanding.
Massanutten has one office in Harrisonburg. F & M has banking offices in Winchester and the counties of Clarke, Frederick, Rappahannock, Shenandoah and Warren, plus a small loan affiliate in Page County. As of September 30, Massanutten had assets of $12 million and F & M assets totaled $185 million.
