event the successful bidder fails to consummate the purchase of the Property, time being of the essence, such deposit, at the option of the Trustees, may be forfeited. Such forfeiture shall not limit any right of the Trustees and/or of the Noteholder to further avail themselves of additional legal and/or equitable remedies against such successful bidder. Further terms and particulars of sale are to be announced at the time of sale. Settlement on the sale of the Property shall take place at the law offices of Niles, Dulaney & Parker, Remington, Virginia or such other place as may be mutually agreed upon, and shall be held within thirty (30) days after the sale, unless extended thereafter in the sole discretion of the Trustees The balance of the purchase price of the Property (over and above the deposit), plus interest on such balance at the rate of twelve percent (12%) per annum from the date of the sale through the date of settlement, will be due in cash or equivalent at settlement. Time is of the essence. Otherwise, the Trustees reserve the right to resell any of the Property at the risk and cost of the defaulting successful bidder. All property will be sold in "AS IS" condition, WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, and without any warranty as to the accuracy, of the information furnished to prospective bidders by the Trustees or any other party. Conveyance of the Property shall be by Trustees’ Deed, without covenant or warranty, express or applied. If the Trustees cannot convey good title of record, the sole remedy of the successful purchaser shall be to demand and receive a return of the deposit. Adjustment of all rents, public charges, sewer, water, drainage and other public improvements and all fuel, gas, water (including sewers), electricity, utilities and other operating charges will be made as of the date of settlement and are to be assumed and paid, or received, thereafter by the successful bidder, provided that the successful bidder shall take subject to any real estate taxes and special assessments, whether the same have been levied or not as of such date All costs incident to the settlement on and conveyancing of the Property, shall be at the cost of the successful bidder
