INC. TO THE COMPANIES’

ALTERNATJVE REGULATORY PLAN

On November 10, 1997, Central Telephone Company of Virginia and United Telephone-Southeast, Inc. (together, the "Companies") filed a Joint Motion with the State Corporation Commission (the “Commission") requesting approval of amendments to their Alternative Regulatory Plan (the "Plan"). The Joint Motion requested that the Plan be amended to conform to recent legislative amendments to Sections 56-235.5E and 56-237.2 of the Code of Virginia. The first proposed revision reflects the amendment to Section 235.5E that allows the Commission to determine a service to be competitive after notice and an opportunity for hearing. Currently the Plan requires a hearing.

The second proposed revision would require the Commission to convene a public hearing regarding rate changes for certain services upon requests by the lesser of five percent or 150 of the Company's customers. The current Plan language requires hearing upon complaint of 20 or more customers.

Copies of the Companies' Motion may be obtained by written request to the Companies' counsel, at the address below, and may be viewed at the State Corporation Commission's Document Control Center during regular business hours, at the address below.

Interested persons may file written comment, or request hearing, on the proposed amendments by filing an original and five (5) copies of such document with the Clerk of the State Corporation Commission, Document Control Center. First Floor, lyier Building, 1300 East Main Street, Richmond, Virginia, referring to Case No. PUC970174.

A copy of any such filing shall also be served on James B. Wright, Esquire. 14111 Capital Boulevard. Wake Forest, North Carolina 275875900. Such filing and service shall be made on or before April 24, 1998.
